This seminar will take a "deep dive" into the nuances of the Business Judgment Rule, its criteria, its exceptions, and the manner in which courts have applied the doctrine in specific contents to determine the validity of particular forms of board regulations. Attendees will gain an in depth understanding of how the doctrine operates in the "real world," and how to frame their regulations so as to insure compliance with its exacting standards.
We will also discuss risks associated with cyber crime and the significant financial harm and reputational damage due to breaches in security, specifically, personally identifiable information and data security.
