Shareholder litigation has become an almost obligatory feature of mergers & acquisitions. Cornerstone Research reports that in 2011 96% of deals valued over $500 million and 85% of deals valued between $100-500 million attracted litigation-an average of over 4 suits each. The near-certainty of litigation in the wake of M&A highlights the imperative for risk managers to conduct effective due diligence on a prospective acquisition's [or buyer's?] historic insurance assets and potential liabilities or losses.
