When a company that you've invested in or loaned money to stops communicating and stops reporting, its market value may plummet even as its operations thrive. That's been the case with more than 170 U.S.-traded foreign companies in the last five years. Domestic companies can also go dark or otherwise hide their value.
In this seminar, those who have pioneered successful techniques for recovering value for investors in opaque and illiquid companies will share their secrets. Attorney David Graff and Court-Appointed Receiver Robert Seiden have worked together to capitalize on these opportunities for investors by enabling shareholders (including minority positions) and lenders to effectively seize control of companies and unlock the true value of their investment. You will learn effective new techniques and mechanisms invented and implemented by the presenters that have been successful in achieving these results and securing returns for investors who had otherwise lost hope. There will be a review of legal remedies that are triggered by a company's going dark, including how to get a contempt order, obtaining a “put” option, appointment of a receiver; how to value a "dark" company and penetrate its ownership structure. Using data points from the SEC and recent relevant foreign court decisions, the presenters will clearly explain the current landscape for enforcing US orders in China and other difficult jurisdictions, as well as the means to recovering value from China without engaging the Chinese legal system. The presenters will also discuss new means of successful redress when domestic companies go dark.
